1. Introduction and Definitions

These Terms and Conditions ("Terms") are issued by Fudli™, a registered trademark in the UK(the “Provider”).

These Terms govern the relationship between Fudli, Users, and Merchant Partners in connectionwith the use of the Fudli Platform, including:

  • Access and use of the Fudli web application
  • Mediation of online ordering and/or delivery contracts
  • Other related services offered through the Fudli Platform

Definitions:

  1. Fudli Platform – A web-based system operated by the Provider enablingbrowsing, ordering, reservations, marketing, and digital payments.
  2. User – Any individual or legal entity using the Platform.
  3. Merchant Partner – A business offering food or related services via the Platform.
  4. Third-Party Couriers – External logistics providers integrated into the Platform.
  5. Products – Food, beverages, or services offered by Merchant Partners.
  6. Service Fee – A transaction-based facilitation fee.
  7. Account – A user or business profile within the Platform.
  8. Consumer Protection Laws – Applicable UK, EU, US, and international legislation.

By using the Fudli Platform, Users confirm that they have read, understood, and acceptedthese Terms and have the legal capacity to enter into binding agreements.

2. How the Fudli Platform Works

Fudli acts as a digital intermediary connecting Users with Merchant Partners to facilitate:

  • Browsing restaurant menus
  • Ordering and paying for Products
  • Marketing and promotional communication

Fudli is not the seller of Products. All contracts are formed directly between Users andMerchant Partners.

Merchant Partners are solely responsible for:

  • Menu accuracy
  • Product preparation and safety
  • Refunds, complaints, and consumer rights
  • Regulatory compliance

3. User Accounts

Users may place orders with or without an Account. Creating an Account enables additionalfeatures such as order history and saved preferences.

Users are responsible for safeguarding login credentials and all activity under their Account.

Fudli may suspend or terminate Accounts with 14 days’ notice in the event of serious breaches.

4. Menu Content and Product Information

Merchant Partners are responsible for the accuracy of Product listings, including pricing,allergens, and availability.

Listings constitute invitations to treat and may be declined by Merchant Partners.

5. Ordering and Contract Formation

Orders become binding once confirmed by the User and accepted by the Merchant Partner.

Due to the nature of perishable goods, withdrawal rights may not apply unless obligationsare not fulfilled.

6. Pricing and Payments

Prices are shown inclusive of VAT where applicable. Additional delivery or packaging feesmay apply.

  • Online card payments
  • Cash or contactless on delivery or collection (where available)

7. Delivery and Collection

  • Takeaway collection
  • Local delivery
  • On-site table service via QR code

7a. Delivery via Third-Party Couriers and the Fudli Courier App

Delivery may be fulfilled via integrated third-party couriers or independent drivers usingthe Fudli Courier App.

Fudli is not a party to delivery contracts and is not liable for courier performance, delays,loss, or damage.

8. Intellectual Property

All Platform content and functionality are protected by intellectual property laws andowned by Fudli or its licensors.

9. User Responsibilities

Users must use the Platform lawfully and responsibly. Misuse may result in suspension orlegal action.

10. Data Protection

Personal data is processed in accordance with UK GDPR and the Fudli Privacy Policy.

11. Complaints and Contact

Platform-related complaints may be sent to support@fudli.com.

12. Governing Law and Disputes

These Terms are governed by the laws of England and Wales.

13. Changes to Terms

Users will be notified at least 14 days in advance of material changes.Continued use indicates acceptance. (Last updated: July 20, 2025)
